Terms and Conditions for Cost Savings Perks

1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Subscriber,” “you,” or “your”) and Cost Savings LLC (“Cost Savings,” “we,” “us,” or “our”) governing your access to and use of the Cost Savings Perks platform (“Perks” or the “Platform”).
By creating an account, subscribing to, or otherwise using Perks, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use Perks.

2. Scope of Services
Through the Platform, Cost Savings provides Subscribers with access to:
• Discounted Products and Services: Exclusive offers on SaaS products and other business services provided directly by Cost Savings.
• AI Monitoring and Auditing Tools: Automated expense monitoring, invoice auditing, and cost-optimization insights.
• Partner Benefits: Access to travel, event tickets, retail shopping, and entertainment discounts provided by independent third-party partners.

3. Third-Party Services and Disclaimers
3.1 Third-Party Transactions. Purchases of travel, entertainment, retail, or other products made available through third-party providers are transacted directly between you and the applicable provider on that provider’s website or platform. Cost Savings does not process, fulfill, or manage these transactions.
3.2 Third-Party Terms. Your use of third-party services is subject to the provider’s own Terms & Conditions and Privacy Policy, which you must review and accept prior to purchase.
3.3 Disclaimer. Cost Savings makes no representations and expressly disclaims all liability regarding:
• the accuracy, availability, or quality of third-party products or services;
• any delays, cancellations, disputes, or other issues arising from third-party transactions; or
• any statements, warranties, or representations made by third-party providers.

4. Eligibility and Account Obligations
4.1 Eligibility. Perks are available only to business users who are at least 18 years of age. By creating an account, you represent and warrant that you meet these requirements.
4.2 Account Accuracy. You agree to provide complete and accurate information during registration and to maintain the confidentiality of your login credentials. You are solely responsible for all activities conducted under your account.
4.3 Account Use. Accounts may only be used by the Subscriber’s business and its authorized employees. Sharing, reselling, or transferring account access is strictly prohibited.

5. Subscription and Fees
5.1 Subscription Plans. Certain features or Perks may require a paid subscription. Subscription terms, pricing, and renewal conditions will be disclosed at the time of purchase.
5.2 Changes. Cost Savings reserves the right to modify subscription pricing or features upon providing reasonable notice to Subscribers.
5.3 Refunds. Except as required by law, all subscription fees are non-refundable.

6. Use of AI Monitoring and Auditing Tools
6.1 Informational Purposes Only. Outputs generated by our AI tools are for informational and educational purposes only and do not constitute financial, tax, legal, or investment advice.
6.2 No Reliance. You acknowledge that any decisions made based on AI tool outputs are your sole responsibility. Cost Savings shall not be liable for any loss, cost, or damages arising from reliance on AI-generated recommendations.

7. Intellectual Property Rights
7.1 Ownership. All intellectual property rights in and to the Platform, including trademarks, logos, text, software, and designs, are owned by Cost Savings or its licensors.
7.2 Restrictions. You may not copy, modify, distribute, sell, lease, or reverse engineer any portion of the Platform without express written consent from Cost Savings.

8. Limitation of Liability
8.1 Exclusions. To the maximum extent permitted by law, Cost Savings shall not be liable for:
• indirect, incidental, consequential, or punitive damages;
• loss of profits, revenue, data, or business opportunities;
• disputes, cancellations, delays, or claims arising from third-party providers.
8.2 Cap on Liability. In no event shall Cost Savings’ aggregate liability arising out of or related to these Terms exceed the total subscription fees paid by you to Cost Savings in the twelve (12) months preceding the claim.

9. Indemnification
You agree to indemnify, defend, and hold harmless Cost Savings, its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of: (i) your use of Perks; (ii) your violation of these Terms; or (iii) your dealings with third-party providers.

10. Termination
Cost Savings may suspend or terminate your account and access to Perks at any time, with or without cause, including for violation of these Terms.
You may cancel your subscription at any time, but cancellation will not entitle you to a refund of any previously paid fees.

11. Privacy
Your use of the Platform is also governed by the Cost Savings Privacy Policy [https://costsavings.com/privacy-policy/]. When you use third-party services, their respective privacy policies shall apply.
11.1 Marketing Communications
By creating an account or using the Platform, you may opt in to receive marketing communications from Cost Savings, including product updates, promotional offers, cost-saving recommendations, and industry insights. You may unsubscribe at any time by clicking the “Unsubscribe” link in any marketing email or by contacting us directly at support@costsavings.com.
Opting out of marketing emails will not affect your ability to receive essential transactional or service-related communications.

12. Governing Law and Dispute Resolution
12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflicts of law principles.
12.2 Dispute Resolution. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. 12.3 Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between Cost Savings and you individually. To the fullest extent permitted by law: (i) no arbitration or proceeding shall be joined with any other; and (ii) no dispute shall be arbitrated or resolved on a class-wide basis.

13. Modifications to Terms
Cost Savings reserves the right to update or modify these Terms at any time. Material changes will be communicated to Subscribers through the Platform or by email. Continued use of Perks after such changes constitutes acceptance of the revised Terms.
